1. Acceptance of Terms

By accessing or using CareOS Systems's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all visitors, users, and others who access the Services.

2. Description of Services

CareOS Systems provides billing automation software for adult day care facilities. Our Services include attendance tracking, insurance claim generation, transportation billing, private payer invoicing, and financial reporting. The Services are provided on a subscription basis.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. You are responsible for ensuring that all users under your account comply with these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulations
• Submit false, misleading, or fraudulent claims through the platform
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Share your account credentials with unauthorized persons

5. HIPAA and Data Handling

If you use the Services to process protected health information (PHI), you acknowledge that you are a Covered Entity or Business Associate under HIPAA and that a Business Associate Agreement (BAA) must be executed between you and CareOS Systems before any PHI is processed through the Services. We will provide a BAA upon request and include it as part of our standard onboarding process.

6. Payment Terms

Subscription fees are billed monthly in advance. You agree to pay all fees associated with your selected plan. Prices may be updated with 30 days' notice. Failure to pay may result in suspension of your account. All fees are non-refundable except as expressly stated in these Terms.

7. Intellectual Property

The Services, including all software, content, and documentation, are owned by CareOS Systems and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period. You may not copy, modify, distribute, or create derivative works based on the Services.

8. Limitation of Liability

CareOS Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Services. Our total liability shall not exceed the amount paid by you for the Services during the twelve months preceding the claim. The Services are provided "as is" without warranties of any kind.

9. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services will cease. We will provide a reasonable period for you to export your data before deletion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New Castle County, Delaware.
